**Terms and Conditions for Thomas Machining Inc.**

Welcome to the website of Thomas Machining Inc. By accessing or using this website, you agree to the following Terms and Conditions.

1. Use of Website

This website is intended to provide information about our CNC machining, manufacturing, fabrication, and related services. You agree to use this website only for lawful purposes.

2. Quotes and Orders

All quotes provided by the Company are:

  • Subject to review and approval

  • Based on the specifications provided by the customer

Orders are not considered accepted until confirmed in writing by the Company.

3. Customer Responsibilities

Customers are responsible for:

  • Providing accurate drawings, specifications, and material requirements

These Terms and Conditions shall be governed by the laws of the State of Texas, without regard to conflict of law principles.

The Company reserves the right to update these Terms and Conditions at any time without prior notice. Continued use of the website constitutes acceptance of any changes.

Supplier Terms & Conditions

Except as may otherwise be specifically provided on the face side hereof, the parties agree that the following terms and conditions shall govern the transactions described on the face hereof.

The term “Buyer” shall mean and include THOMAS MACHINING INC. or its authorized representative.

 

1. Acceptance and Modification

This Purchase Order (PO) can be accepted only upon the terms and conditions expressed herein, which may not be modified, amended or waived except by express written consent signed by

an authorized representative of THOMAS MACHINING, INC. Objection is hereby given to any additional terms or conditions, whether material, contained in any acknowledgement or confirmation

of this order. This order and all the provisions herein contained shall be deemed accepted by Vendor by commencing performance hereunder or by any other means which reasonably

manifest Vendor’s assent to be bound by the provisions hereof.

 

2. Compliance with Applicable Legal Standards.

Vendor shall warrant that all goods and services provided are in compliance with all federal and state laws, rules, and regulations as applicable.

3. Safety

Vendor agrees to comply with all safety requirements within the confines of buyer’s facilities and/or properties and to notify Buyer and Buyer’s representatives of all safety

requirements upon Buyer’s entrance to Vendor’s facilities and/or properties.

 

4. Cancellation

Buyer shall have the right to cancel this order in the event that the other may fail to perform or observed term or condition hereof by giving the other ten (10) days written notice of cancellation

thereof. Cancellation hereunder shall not prevent the non-defaulting party from utilizing any other remedy available by law or from seeking such damages to which it may be entitled by law.

 

5. Quality Management System

If supplier &/or supply chain, as applicable, requires ISO 9001 or AS9100 QMS certification, it is critical that you notify THOMAS MACHINING, INC if there are changes to your certification.

6. Nonconforming Product

THOMAS MACHINING, INC., shall be notified immediately of nonconforming product. The supplier must obtain THOMAS MACHINING, INC’s approval for nonconforming product disposition. Nonconforming product will not be shipped until the supplier has been provided instruction from THOMAS MACHINING, INC.

7. Changes To Product & Processes

Any change in the product, processes, suppliers & or facilities must be conveyed to THOMAS MACHINING, INC. prior to work being performed. Absolutely no changes can be made to the drawing requirements.

8. Flow Down Requirements

Flow-down requirements will be noted on the PO and must be followed. Ensure your suppliers throughout the supply chain are notified of THOMAS MACHINING, INC flow-down requirements. If you do not or cannot meet these requirements, THOMAS MACHINING INC. shall be notified immediately.

9. Revision Level

All product / process drawings & specifications shall be processed to the latest revision unless otherwise specified.

10. Shipment Instructions

A separate itemized invoice showing the date of the shipment and all other relevant information hereunder shall cover each shipment. At the time of each shipment, Vendor shall mail such

itemized invoice directly to Accounts Payable at the address provided on the face of the purchase order. The vendor shall forward with each shipment a shipping memorandum stating order

number, describing the transaction, and providing all other relevant information, a bill of lading and on foreign shipments the requisite imported documents. Partial shipments must be identified

as such on the shipping memoranda and invoices must be marked as “partial.” Completed shipments must be marked thereon as “final.”  Material must be protected from damage that may

occur during transportation from vendor’s facility. Vendor is responsible for packaging material to prevent damage as such.

 

11. Inspection and Acceptance

All product shall be received subject to Buyer’s rights of inspection, rejection, and revocation, Any Buyer’s signature on any shipping/receiving or acknowledgment document shall not

constitute acceptance of Product or Services or any different terms or conditions or acknowledge condition of products but shall merely acknowledge receipt of a shipment. Buyer and/or

Customer may elect to have on-site inspection of the Products provided hereunder. Seller shall permit free and reasonable access to seller’s facilities to perform such surveillance activities.

 

12. Test, Inspection &/or Verification

Tests, inspection & verification requirements will be controlled by the engineering drawing or specification. Critical item(s) requirements, including key characteristics, must be documented

per drawing &/or instruction.

 

13. Personnel Qualification Requirements

As prescribed per the engineering drawing, specifications &/or instructions, personnel qualifications must be compliant. Inability to provide qualified personnel shall be conveyed to THOMAS MACHINING, INC prior to work beginning.

 

14. Approval Requirements

THOMAS MACHINING INC may request approval of product processes & procedures, and equipment before, during or after orders. This requirement may require a quality management system process audit &/or source inspection of product.

 

15. Right of Access

THOMAS MACHINING, INC, their Customer(s), and/or regulatory agencies will be afforded access to the facilities and all applicable product records.

16. Record Retention

Production and Quality records must be retained for a period of seven (7) years, unless otherwise specified.

17. THOMAS MACHINING INC. Product Verification

All product will be inspected per the applicable drawing & / or specification by THOMAS MACHINING INC. personnel.

18. 8.4.3. 

Ensuring that persons are aware of their contribution to product or service conformity; their contribution to product safety; the importance of ethical behavior.
